Allgemeine Geschäftsbedingungen für den Hotelaufnahmevertrag und Veranstaltungen im Heidehotel Lubast

I. GELTUNGSBEREICH

  1. Diese Geschäftsbedingungen gelten für Verträge über die mietweise Überlassung von Hotelzimmern zur Beherbergung sowie alle in diesem Zusammenhang für den Kunden erbrachten weiteren Leistungen und Lieferungen des Hotels (Hotelaufnahmevertrag). Der Begriff Hotelaufnahmevertrag umfasst und ersetzt folgende Begriffe: Beherbergungs-,Gastaufnahme-, Hotel-, Hotelzimmervertrag.
  2. Die Unter- oder Weitervermietung der überlassenen Zimmer sowie deren Nutzung zu anderen als Beherbergungszwecken bedürfen der vorherigen Zustimmung des Hotels in Textform, wobei § 540 Absatz 1 Satz 2 BGB abgedungen wird, soweit der Kunde nicht Verbraucher ist. 
  3. Allgemeine Geschäftsbedingungen des Kunden finden nur Anwendung, Wenn dies vorher ausdrücklich in Textform vereinbart wurde.


II. VERTRAGSABSCHLUSS,-PARTNER, VERJÄHRUNG

  1. Der Vertrag kommt durch die Annahme des Antrags des Kunden durch das Hotel zustande. Dem Hotel steht es frei, die Zimmerbuchung in Textform zubestätigen. 
  2. Vertragspartner sind das Hotel und der Kunde. Hat ein Dritter für den Kunden bestellt, haftet er dem Hotel gegenüber zusammen mit dem Kunden als Gesamtschuldner für alle Verpflichtungen aus dem Hotelaufnahmevertrag, sofern dem Hotel eine entsprechende Erklärung des Dritten vorliegt. 
  3. Alle Ansprüche gegen das Hotel verjähren grundsätzlich in einem Jahr ab dem gesetzlichen Verjährungsbeginn. Schadensersatzansprüche verjähren kenntnisunabhängig in fünf Jahren, soweit sie nicht auf einer Verletzung des Lebens, des Körpers, der Gesundheit oder der Freiheit beruhen. Diese Schadensersatzansprüche verjähren kenntnisunabhängig in zehn Jahren. Die 
  4. Verjährungsverkürzungen gelten nicht bei Ansprüchen, die auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung des Hotels beruhen. 


III. LEISTUNGEN, PREISE, ZAHLUNG, AUFRECHNUNG

  1. Das Hotel ist verpflichtet, die vom Kunden gebuchten Zimmer bereitzuhalten und die vereinbarten Leistungen zu erbringen. 
  2. Der Kunde ist verpflichtet, die für die Zimmerüberlassung und die von ihm in Anspruch genommenen weiteren Leistungen, die vereinbarten bzw. geltenden Preise des Hotels zu zahlen. Dies gilt auch für vom Kunden veranlasste Leistungen und Auslagen des Hotels an Dritte. Die vereinbarten Preise schließen die jeweilige gesetzliche Umsatzsteuer ein. 
  3. Das Hotel kann seine Zustimmung zu einer vom Kunden gewünschten nachträglichen Verringerung der Anzahl der gebuchten Zimmer, der Leistung des Hotels oder der Aufenthaltsdauer des Kunden davon abhängig machen, dass sich der Preis für die Zimmer und/oder für die sonstigen Leistungen des Hotels erhöht. 
  4. Rechnungen des Hotels ohne Fälligkeitsdatum sind binnen 10Tagen ab Zugang der Rechnung ohne Abzug zahlbar. Das Hotel kann die unverzügliche Zahlung fälliger Forderungen jederzeit vom Kunden verlangen. Bei Zahlungsverzug ist das Hotel berechtigt. die jeweils geltenden gesetzlichen Verzugszinsen in Höhe von derzeit 8% bzw. bei Rechtsgeschäften. an denen ein Verbraucher beteiligt ist, in Höhe von 5% Ober dem Basiszinssatz zu verlangen. Dem Hotel bleibt der Nachweis eines höheren Schadens vorbehalten. 
  5. Das Hotel ist berechtigt, bei Vertragsschluss vom Kunden eine angemessene Vorauszahlung oder Sicherheitsleistung in Form einer Kreditkartengarantie, einer Anzahlung oder Ähnlichem zu verlangen. Die Höhe der Vorauszahlung und die Zahlungstermine können im Vertrag in Textform vereinbart werden. Bei Vorauszahlungen oder Sicherheitsleistungen für Pauschalreisen bleiben die gesetzlichen Bestimmungen unberührt. 
  6. In begründeten Fällen. z.B. Zahlungsrückstand des Kunden oder Erweiterung des Vertragsumfanges, ist das Hotel berechtigt, auch nach Vertragsschluss bis zu Beginn des Aufenthaltes eine Vorauszahlung oder Sicherheitsleistung im Sinne vorstehender Nr. 5 oder eine Anhebung der im Vertrag vereinbarten Vorauszahlung oder Sicherheitsleistung bis zur vollen vereinbarten Vergütung zu verlangen. 
  7. Das Hotel ist ferner berechtigt, zu Beginn und während des Aufenthaltes vom Kunden eine angemessene Vorauszahlung oder Sicherheitsleistung im Sinne vorstehender Nr. 5 für bestehende und künftige Forderungen aus dem Vertrag zu verlangen, soweit eine solche nicht bereits gemäß vorstehenderNummern 5 und/oder 6 geleistet wurde. 
  8. Der Kunde kann mit einer unstreitigen oder rechtskräftigen Forderung gegenüber einer Forderung des Hotels aufrechnen oder verrechnen. 


IV. RÜCKTRITT DES KUNDEN (ABBESTELLUNG, STORNIERUNG) / NICHTINANSPRUCHNAHME DER LEISTUNGEN DES HOTELS (NO SHOW)

  1. Ein Rücktritt des Kunden von dem mit dem Hotel geschlossenen Vertrag bedarf der Zustimmung des Hotels in Textform. Erfolgt diese nicht, so ist der vereinbarte Preis aus dem Vertrag auch dann zu zahlen, wenn der Kunde vertragliche Leistungen nicht in Anspruch nimmt. 
  2. Sofern zwischen dem Hotel und dem Kunden ein Termin zum kostenfreien Rücktritt vom Vertrag in Textform vereinbart wurde, kann der Kunde bis dahin vom Vertrag zurücktreten, ohne Zahlungs- oder Schadensersatzansprüche des Hotels auszulösen. Das Rücktrittsrecht des Kunden erlischt, wenn er nicht bis  zum vereinbarten Termin sein Recht zum Rücktritt gegenüber dem Hotel in Textform ausübt. 
  3. Bei vom Kunden nicht in Anspruch genommenen Zimmern hat das Hotel die Einnahmen aus anderweitiger Vermietung dieser Zimmer sowie die eingesparten Aufwendungen anzurechnen. Werden die Zimmer nicht anderweitig vermietet, so kann das Hotel die vertraglich vereinbarte Vergütung verlangen und den Abzug für ersparte Aufwendungen des Hotels pauschalieren. Der Kunde ist in diesem Fall verpflichtet, mindestens 90% des vertraglich vereinbarten Preises für Übernachtungen mit oder ohne Frühstück, 70% für Halbpensions- und 60% für Vollpensionsarrangements zu zahlen. Dem Kunden steht der Nachweis frei, dass der vorgenannte Anspruch nicht oder nicht in der geforderten Höhe entstanden ist. 


V. RÜCKTRITT DES HOTELS

  1. Sofern vertraglich vereinbart wurde, dass der Kunde innerhalb einer bestimmten Frist kostenfrei vom Vertrag zurücktreten kann, ist das Hotel in diesem Zeitraum seinerseits berechtigt, vom Vertrag zurückzutreten, wenn Anfragen anderer Kunden nach den vertraglich gebuchten Zimmern vorliegen und der Kunde auf Rückfrage des Hotels auf sein Recht zum Rücktritt nicht verzichtet. 
  2. Wird eine vereinbarte oder oben gemäß Ziffer Ill Nummern 5 und/oder 6 verlangte Vorauszahlung oder Sicherheitsleistung auch nach Verstreichen einer vom Hotel gesetzten angemessenen Nachfrist nicht geleistet, so ist das Hotel ebenfalls zum Rücktritt vom Vertrag berechtigt. 
  3. Ferner ist das Hotel berechtigt, aus sachlich gerechtfertigtem Grund vom Vertrag außerordentlich zurückzutreten, beispielsweise falls Höhere Gewalt oder andere vom Hotel nicht zu vertretende Umstände die Erfüllung des Vertrages unmöglich machen Zimmer oder Räume schuldhaft unter irreführender oder falscher Angabe vertragswesentlicher Tatsachen, z.B. zur Person des Kunden oder zum Zweck seines Aufenthaltes, gebucht werden – das Hotel begründeten Anlass zu der Annahme hat, dass die Inanspruchnahme der Hotelleistung den reibungslosen Geschäftsbetrieb, die Sicherheit oder das Ansehen des Hotels in der Öffentlichkeit gefährden kann, ohne dass dies dem Herrschafts- bzw.Organisationsbereich des Hotels zuzurechnen ist – der Zweck bzw. der Anlass des Aufenthaltes gesetzeswidrig ist- ein Verstoß gegen oben genannte Ziffer 1 Nr. 2 vorliegt. 
  4. Bei berechtigtem Rücktritt des Hotels entsteht kein Anspruch des Kunden auf Schadensersatz. 


VI. ZIMMERBEREITSTELLUNG, -ÜBERGABE UND -RÜCKGABE

  1. Der Kunde erwirbt keinen Anspruch auf die Bereitstellung bestimmter Zimmer, soweit dieses nicht ausdrücklich in Textform vereinbart wurde.
  2. Gebuchte Zimmer stehen dem Kunden ab 14:00 Uhr des vereinbarten Anreisetages zur Verfügung. Der Kunde hat keinen Anspruch auf frühere Bereitstellung. 
  3. Am vereinbarten Abreisetag sind die Zimmer dem Hotel spätestens um 11:00 Uhr geräumt zur Verfügung zu stellen. Danach kann das Hotel aufgrund der verspäteten Räumung des Zimmers für dessen Vertragsüberschreitende Nutzung bis 18:00 Uhr 50% des vollen Logispreises (Listenpreises) in Rechnung stellen. ab 18:00 Uhr 100%. Vertragliche Ansprüche des Kunden werden hierdurch nicht begründet. Ihm steht es frei, nachzuweisen, dass dem Hotel kein oder ein wesentlich niedrigerer Anspruch auf Nutzungsentgelt entstanden ist. 
  4. Die Hotels verfügen über Nichtraucher-Zimmer. Notwendiger Sonderreinigungsaufwand durch Rauchen in Nicht-Raucher-Zimmern wird dem Gast pauschal mit € 120,- in Rechnung gestellt. 
  5. Dem Gast ist es untersagt, hoteleigene Einrichtungs- und Ausstattungsgegenstände einschließlich Handtüchern und Bademäntel beim Verlassen des Hotels mitzunehmen. Verstöße führen zwingend zu einer Diebstahlsanzeige und zur Geltendmachung zivilrechtlicher Schadenersatzansprüche. 


VII. HAFTUNG DES HOTELS

  1. Das Hotel haftet für seine Verpflichtungen aus dem Vertrag. Ansprüche des Kunden auf Schadensersatz sind ausgeschlossen. Hiervon ausgenommen sind Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit, wenn das Hotel die Pflichtverletzung zu vertreten hat. sonstige Schäden, die auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung des Hotels beruhen und Schäden, die auf einer vorsätzlichen oder fahrlässigen Verletzung von vertragstypischen Pflichten des Hotels beruhen. Einer Pflichtverletzung des Hotels steht die eines gesetzlichen Vertreters oder Erfüllungsgehilfen gleich. Sollten Störungen oder Mängel an den Leistungen des Hotels auftreten, wird das Hotel bei Kenntnis oder auf unverzügliche Rüge des Kunden bemüht sein, für Abhilfe zu sorgen. Der Kunde ist verpflichtet. das ihm Zumutbare beizutragen, um die Störung zu beheben und einen möglichen Schaden gering zu halten. 
  2. Für eingebrachte Sachen haftet das Hotel dem Kunden nach den gesetzlichen Bestimmungen. Danach ist, lediglich bei Einbruchdiebstahl, die Haftung beschränkt, auf das Hundertfache des Zimmerpreises, jedoch höchstens € 3.500.- und abweichend für Geld, Wertpapieren und Kostbarkeiten höchstens bis zu € 800.-. Geld, Wertpapiere und Kostbarkeiten können bis zu einem Höchstwert von € 10.000 im Hotel- oder Zimmersafe aufbewahrt werden. Das Hotel empfiehlt, von dieser Möglichkeit Gebrauch zu machen. 
  3. Soweit dem Kunden ein Stellplatz in der Hotelgarage oder auf einemHotelparkplatz, auch gegen Entgelt, zur Verfügung gestellt wird, kommt dadurch kein Verwahrungsvertrag zustande. Bei Abhandenkommen oder Beschädigung auf dem Hotelgrundstück abgestellter oder rangierter Kraftfahrzeuge und deren Inhalte haftet das Hotel nicht, außer bei Vorsatz oder grober Fahrlässigkeit. Für den Ausschluss der Schadensersatzansprüche des Kunden gilt die Regelung der vorstehenden Nummer 1. Sätze 2 bis 4 entsprechend. 
  4. Weckaufträge werden vom Hotel mit größter Sorgfalt ausgeführt. Nachrichten. Post und Warensendungen für die Gäste werden mit Sorgfalt behandelt. Das Hotel übernimmt die Zustellung, Aufbewahrung und – auf Wunsch -gegen Entgelt die Nachsendung derselben. Für den Ausschluss von Schadensersatzansprüchen des Kunden gilt die Regelung der vorstehenden Nummer 1. Sätze 2 bis 4 entsprechend. 
  5. Das Hotel haftet nicht für gestohlene oder auf anderer strafrechtlich relevanter Weise erworbene Kreditkartendaten. 


VIII. SCHLUSSBESTIMMUNGEN

  1. Änderungen und Ergänzungen des Vertrages der Antragsannahme oder dieser Allgemeinen Geschäftsbedingungen sollen in Textform erfolgen. Einseitige Änderungen oder Ergänzungen durch den Kunden sind unwirksam.
  2. Erfüllungs- und Zahlungsort ist der Standort des Hotels. 
  3. Ausschließlicher Gerichtsstand – auch für Scheck- und Wechselstreitigkeiten – ist im kaufmännischen Verkehr der gesellschaftsrechtliche Sitz des Hotels. Sofern ein Vertragspartner die Voraussetzung des § 38 Absatz 2 ZPO erfüllt und keinen allgemeinen Gerichtsstand im Inland hat. gilt als Gerichtsstand der gesellschaftsrechtliche Sitz des Hotels. 
  4. Es gilt deutsches Recht. Die Anwendung des UN-Kaufrechts und des Kollisionsrechts ist ausgeschlossen. 
  5. Sollten einzelne Bestimmungen dieser Allgemeinen Geschäftsbedingungen unwirksam oder nichtig sein oder werden, so wird dadurch die Wirksamkeit der übrigen Bestimmungen nicht berührt. Im Übrigen gelten die gesetzlichenVorschriften.


GENERAL TERMS AND CONDITIONS FOR HOTEL ACCOMMODATION CONTRACTS

I. SCOPE of APPLICABILITY

  1. These Terms and Conditions govern contracts for the rental useof hotel of hotel rooms for lodging purposes, as well as all other goods and services rendered by the hotel for the customer in this connection (Hotel Accommodation Contract). The term Hotel Accommodation Contract comprises and replaces the following terms: accommodation, lodging, hotel, hotel room contract. 
  2. The prior consent in text form of the hotel is required if rooms provided are to be sublet or rented to other parties or used other than for lodging purposes, whereby section 540. para. 1. sentence 2 German Civil Code is waived insofar as the customer is not a consumer. 
  3. The customer’s general terms and conditions shall apply only if these are previously expressly agreed in text form. 


II. CONCLUSION OF CONTRACT, PARTIES, STATUTE OF LIMITATIONS

  1. The contract shall come into force upon the hotel’s acceptance of the customer’s application. At its discretion, the hotel may confirm the room reservation in text form. 
  2. The parties to the contract are the hotel and the customer. If a third party placed the order on behalf of the customer, then that party shall be liable vis-à-vis the hotel for all obligations arising from the hotel accommodation contract as joint and several debtor together with the customer, insofar as the hotel has a corresponding statement by the third party. 
  3. Any claims against the hotel shall generally be time-barred one year after the commencement of the general statute of limitations period. Damage claims shall be time-barred after five years, independent of knowledge insofar as they are not based on claims arising out of death, injury to body, health or liberty. These damage claims shall be time-barred after ten years, independent of knowledge.The reduction of the statute of limitation periods shall not apply for claims which are based on an intentional or grossly negligent breach of obligation by the hotel. 


III. SERVICES, PRICES, PAYMENT, SET-OFF

  1. 1The hotel is obligated to keep the rooms reserved by the customer available and to render the agreed services. 
  2. The customer is obligated to pay the agreed or applicable hotel prices for rooms provided and for other services used. This shall also apply to the hotel’s services and outlays to third parties caused by the customer. The agreed prices shall include the respective statutory Value Added Tax. 
  3. The hotel can make its agreement to the customer’s later request fora reduction of the number of reserved rooms, services of the hotel or the customer’s length of stay dependent upon the increase of the price for the rooms and/or for the other services. 
  4. Hotel invoices not showing a due date are payable and due within ten days of receipt of the invoice without deduction. The hotel shall be entitled at any time to make accumulating accounts receivable payable and due and to demand payment without undue delay. With default of payment, the hotel shall be entitled to demand the respectively applicable statutory default interest in the amount of currently 8 % or, with legal transactions with a consumer, in the amount of 5 % above the base interest rate. The hotel reserves the right to prove greater damage. 
  5. The hotel is entitled to require a reasonable advance payment or security deposit from the customer upon conclusion of the contract in the form of a credit card  guarantee, an advance payment, etc. The amount of the advance payment and payment dates may be agreed in text form in the contract. With advance payments or security deposits for package tours, the statutory provisions shall remain unaffected. 
  6. In justified cases, e.g. the customer’s default in payment or expansion of the scope of the contract, the hotel shall be entitled, also after the conclusion of the contract up to the commencement of the stay, to demand an advance payment or security deposit within the meaning of the above-mentioned No. 5or an increase of the advance payment or security deposit agreed in the contract up tothe total agreed remuneration. 
  7. Furthermore, the hotel shall be entitled, at the commencement and during the customer’s stay, to demand a reasonable advance payment or security deposit within the meaning of the above-mentioned No. 5 for existing and future accounts receivable from the contract, insofar as such has not already been paid pursuant to the above-mentioned No. 5 and/or No. 6. 
  8. The customer may only set-off or reduce or clear a claim by the hotel with a claim which is undisputed or decided with final, res judicata effect. 


IV. REPUDIATION BY CUSTOMER (CANCELLATION, ANNULMENT) / FAILURETO USE HOTEL SERVICES (NO SHOW)

  1. Cancellation by the customer of the contract concluded with the hotel requires the hotel’s consent in text form. If such is not given, then the price agreed in the contract must be paid even if the customer does not avail himself of the contractual services. 
  2. To the extent the hotel and customer agreed in text form upon a date for a costfree cancellation of the contract. the customer may cancel the contract up to that date without incurring payment or damage compensation claims by the hotel. The customer’s right of cancellation shall expire if he does not exercise his cancellation right in text form vis-à-vis the hotel by the agreed date. 
  3. If rooms are not used by the customer, the hotel must credit the income from renting the rooms to other parties and also for saved expenses. If the rooms are not otherwise rented, the hotel can demand the contractually agreed rate and assess a flat rate for the saved expenses of the hotel. In this case, the customer is obligated to pay at least 90 % of the contractually agreed rate for lodging with or without breakfast, 70 % for room and half-board, and 60 % for room and fullboard arrangements. The customer is at liberty to show that the abovementioned claim was not created or not created in the amount demanded. 


V. CANCELLATION BY HOTEL

  1. Insofar as it was agreed in text form that the customer can cancel the contract at no cost within a certain time period, the hotel is entitled for its part to cancel the contract during this time period if inquiries from other customers regarding the contractually reserved rooms exist and the customer, upon inquiry thereof by the hotel, does not waive his right of cancellation. 
  2. If an agreed advance payment or an advance payment or security deposit demanded pursuant to Item clause III. No. 5 and/or No. 6 supra is not made even after a reasonable grace period set by the hotel has expired, then the hotel is likewise entitled to cancel the contract. 
  3. Moreover, the hotel is entitled to effect extraordinary cancellation of the contract for a materially justifiable cause. e.g. if – force majeure or other circumstances for which the hotel is not responsible make it impossible to fulfilthe contract;- rooms and spaces are reserved with culpably misleading or false informationregarding material contractual facts, such as the identity of the customer or the purposeof his stay;- the hotel has justified cause to believe that use of the hotel’s services might jeopardize the smooth operation of the hotel, its security or public reputation, without being attributable to the hotel’s sphere of control or organization;- the purpose or the cause of the stay is illegal;- there is a breach of the above-mentioned Item clause I., No. 2 supra. 
  4. The customer can derive no damage compensation rights from justified cancellation by the hotel. 


VI. ROOM AVAILABILITY, DELIVERY AND RETURN

  1. The customer does not acquire the right to be provided specificrooms insofar asthis is not expressly agreed in text form. 
  2. Reserved rooms are available to the customer starting at 3:00 p.m. on the agreed arrival date. The customer does not have the right to earlier availability. 
  3. Rooms must be vacated and made available to the hotel no later than 12:00 noon on the agreed departure date. After that time, on the grounds of the delayed vacating of the room for use exceeding the contractual time, the hotel may charge 50 % of the full accommodation rate (list price) for the additional use of the room until 6:00 p.m. (after 6:00 p.m.: 100 percent). Contractual claims of the customer shall not be established hereby. The customer is at liberty to prove that the hotel incurred no or much lesser claim to use damages. 
  4. The Hotels have non smoking rooms. For special cleaning costs, required in non smoking rooms in which guests have smoked, a flat rate charge of 120,-€ will be charged. 
  5. When leaving the hotel the guest is forbidden to take any kind of the hotel’s furnishings as well as other kind of equipment, e.g. towels and bathrobes. In case of rule violation the guest will be considered a thief and will be applied the civil law regarding to “claim for damages” 


VII. LIABILITY OF THE HOTEL

  1. The hotel is liable for the performance of its obligations arising from the contract.Claims of the customer for reimbursement of damages are precluded except for such which result from death, injury to body or health and the hotel is responsible for the breach of the obligation, other damage which is caused by an intentional or grossly negligent breach of obligation and damage which is caused  from an intentional or negligent breach of obligations of the hotel which are typical for the contract. A breach of obligation of the hotel is deemed to be the equivalent to a breach of a statutory representative or vicarious agent. Should disruptions or defects in the performance of the hotel occur, the hotel shall act to remedy such upon knowledge thereof or upon objection by the customer made without undue delay.The customer shall be obliged to undertake actions reasonable for him to eliminate the disruption and to keep any possible damage to a minimum. 
  2. The hotel is liable to the customer for property brought into the hotel in accordance with the statutory provisions. Accordingly, due to theft by housebreaking, the liability is limited to one hundred times the room rate but, however, a maximum amount of € 3.500.00 and, in deviation, for cash, securities and valuables, a maximum amount up to € 800.00, cash, securities and valuables up to a maximum value of € 10.000,00 may be stored in the hotel safe or room safe. Thehotel recommends that guests make use of this possibility. 
  3. Insofar as a parking space is provided to the customer in the hotelgarage or a hotel parking lot, this does not constitute a safekeeping agreement, even if a fee is exchanged. The hotel assumes no liability for loss of or damage to motor vehicles parked or manoeuvred on the hotels property and the contents the reof, except for cases of intent or gross negligence. For the preclusion of damage claims of the customer, the regulation of the above-mentioned No. 1, sentences 2 to 4 supra shall apply respectively. 
  4. Wake-up calls are carried out by the hotel with the greatest possible diligence.Messages, mail, and merchandise deliveries for guests shall be handled with care. The hotel will deliver, hold, and, for a fee, forward such items (on request). For the preclusion of damage claims of the customer, the regulation of the above-mentioned No. 1, sentences 2 to 4 supra shall apply respectively. 
  5. The hotel is not liable for stolen or in any other illegal way acquired credit card details 


VIII. FINAL PROVISIONS

  1. Amendments and supplements to the contract, the acceptance of applications or these General Terms and Conditions should be made in text form. Unilateral amendments and supplements by the customer are not valid. 
  2. Place of performance and payment is the location of the hotel. 
  3. In the event of dispute, including disputes for checks and bills of exchange, the courts at the location of the hotels registered office according to corporate law shall have exclusive jurisdiction for commercial transactions. Insofar as a contracting party fulfils the requirements of section 38, para. 2 of the German Code of Civil Procedure and does not have a general venue within the country, the courts at the location of the hotels registered office according to corporate law shall have jurisdiction. 
  4. The contract is governed by and shall be construed in accordance with the laws of the Federal Republic of Germany. The application of the UN Convention on the International Sale of Goods and Conflict Law are precluded. 
  5. Should individual provisions of these General Terms and Conditions be or become invalid or void, the validity of the remaining provisions shall remain unaffected thereby. The statutory provisions shall also be applicable.
